Website Terms and Conditions (Terms) 

These Terms contain important information, including disclaimers and limitations of liability. 

1. Your acceptance 

1.1 These are the terms on which ReadyTech Procurement Solutions Pty Ltd ACN 605 191 375 (ReadyTech Procurement Solutions) permits users (referred to as you or your) to access and use: 
(a) its website (https://www.readytech.io/procurement ); and 
(b) the eTender Portal website (https://etenderbox.com.au); and 
(c) the SRM Portal website (https://srmportal.openwindows.com.au ) (together, the Website),including using the services and functionality made available through the Website, viewing Content (defined in section 6) provided by ReadyTech Procurement Solutions, communicating with ReadyTech Procurement Solutions, and reviewing product information. 

1.2 You agree to be bound by these Terms by using, browsing or accessing any part of the Website. 

1.3 Your use of the ReadyTech Procurement Solutions Website is governed by an End User Licence Agreement (EULA), to which you agree upon registration, available at: https://etenderbox.com.au/Terms.aspx.  If these Terms and the EULA both apply in respect of the same subject matter, the EULA prevails to the extent of any inconsistency. 

1.4 ReadyTech Procurement Solutions may from time to time review and update these Terms to take account of new laws, regulations, products or technology. Your use of the Website will be governed by the most recent Terms posted at: https://www.readytech.io/procurement/terms. By continuing to use the Website, you agree to be bound by the most recent Terms. It is your responsibility to check the Website regularly for updates. 

2. Changes to the Website 

The Website is subject to change at any time without notice and may contain errors. 

3. Accounts 

3.1 You may be required to register an account to access or use particular areas of the Website. 
3.2 You warrant that all information and data provided by you in the registration is accurate, complete and up to date. You will promptly inform ReadyTech Procurement Solutions if there is any change to this information or data. 

4. Passwords 

4.1 You may only access certain restricted areas of the Website by entering the account password you selected when registering (Password). You agree that you will not disclose, or permit disclosure of, the Password to any person. You will be fully responsible for all acts and omissions of any person using your Password, as if they were your own. ReadyTech Procurement Solutions will not be liable for any loss or damage arising out of the use or misuse of the Password, and you indemnify ReadyTech Procurement Solutions against all related claims. 

5. Changes to our offerings 

5.1 We may modify offerings (including prices, products and services) at our discretion for any reason, including but not limited to changes in market conditions, product or service discontinuation, changes in availability, supplier changes, or errors in advertising. 
5.2 All updates and modifications to the Website, including changes to content and offerings, are subject to these Terms. We will not be liable for any lack of availability of products or services. 

6. Content 

6.1 The Website is owned and operated by ReadyTech Procurement Solutions. 
6.2 ReadyTech Procurement Solutions has the right, but not the obligation, to monitor any content made available on the Website. We may block, modify or remove any Content in our discretion without notice. 
6.3 The Content is provided for general information only and may include third-party materials. Use of such Content is at your own risk. 
6.4 Subject to consumer guarantees in the Australian Consumer Law (ACL), ReadyTech Procurement Solutions excludes liability for reliance on the Content, or for its accuracy, currency or completeness. 
6.5 You are solely responsible for any Content you provide. You warrant it does not breach these Terms or our Privacy Policy. 
6.6 Unless expressly stated, Content you submit will be treated as non-confidential and non-proprietary. 
6.7 If you have a complaint about Content, ReadyTech Procurement Solutions will review it and, at our discretion, take appropriate action. 

7. Access and communication 

7.1 Subject to the ACL, ReadyTech Procurement Solutions does not guarantee continuous Website access or uninterrupted services. 
7.2 Communications over the internet are not secure. ReadyTech Procurement Solutions does not guarantee confidentiality or security. 
7.3 We accept no responsibility for issues with internet or network services. 
7.4 Website content is prepared in accordance with Australian law and may not comply with laws elsewhere. If you access the Website from outside Australia, you do so at your own risk. 

8. Privacy 

Any personal information submitted by you is subject to the ReadyTech Procurement Solutions Privacy Policy, available at: https://readytech.io/privacy-policy. By using the Website, you consent to the collection and handling of personal information in accordance with that policy. 

9. Disclaimer and limitation of liability 

9.1 Nothing in these Terms excludes any consumer guarantee or right under the ACL that cannot be excluded. 
9.2 To the fullest extent permitted by law, ReadyTech Procurement Solutions excludes all warranties not imposed by the ACL. 
9.3 Subject to the ACL, we exclude liability for any loss or damage arising out of or connected with the Website, Content, or products and services advertised on it. 

10. Indemnity 

You indemnify ReadyTech Procurement Solutions for all loss, damage, costs, expenses (including legal fees), fines, penalties, claims and proceedings arising from: 
(a) any breach of these Terms by you; 
(b) your use of the Website; or 
(c) your communications with ReadyTech Procurement Solutions.

11.1 The Website may contain links to third-party sites. These are provided as references only and do not constitute endorsements. 
11.2 Linked websites have their own terms of use and privacy policies. ReadyTech Procurement Solutions accepts no responsibility for their content or operation. 

12. Intellectual property 

12.1 All intellectual property rights in the Website, products and services are owned or licensed by ReadyTech Procurement Solutions. You must not copy, modify or distribute any part of the Website. 
12.2 The Website contains trade marks and service names belonging to ReadyTech Procurement Solutions or third parties. You are not permitted to use them without consent. 

13. Website licence and use 

We grant you a non-exclusive, non-transferable licence to use the Website for personal or business use, subject to these Terms and any applicable EULA. 

14. Prohibited uses 

You must not: 
(a) download or modify the Website except as permitted; 
(b) frame the Website without written consent; 
(c) use it for commercial exploitation, resale, data mining or similar; 
(d) impersonate another person or organisation; 
(e) harass, defame or threaten others; 
(f) post unlawful, defamatory or infringing material; or 
(g) distribute viruses or harmful code. 

15. Termination 

We may immediately terminate your access to the Website for any reason, including breach of these Terms, without notice. Indemnities and liability limitations survive termination. 

16. Jurisdiction 

These Terms are governed by the laws of Victoria, Australia. You submit to the exclusive jurisdiction of its courts and the Commonwealth of Australia. 

17. Severability 

Each provision of these Terms is severable. If any provision is invalid, the remainder continues in effect.
